Refund Policy, Extension Support Guarantee, and Payment Terms

Strategy Accelerator™ — 8-Week Cohort Program (ACH Only)

Effective Date: January 3, 2026

1. Parties and Definitions

Company: Heatherized, Inc. ("Company," "we," "us").

Client: The enrolling company and its authorized participants ("Client," "you").

Definitions:


"1:1 Strategy Call" means the initial private strategy session scheduled and delivered prior to Program Start.

"Program" means the Strategy Accelerator™ 8-week cohort program (including any associated portal, templates, materials, and live
sessions).

"Program Start" means the earliest of: (i) the official cohort start date listed on the applicable order form, (ii) Client’s first access to
Program materials/portal/resources, or (iii) attendance at (or access to the recording of) the first live session.

"Program Fees" means all amounts paid for enrollment (exclusive of any bank fees or third-party charges).

"Extension Support" means the additional support remedy described in Section 5.

"Participation Requirements" means the eligibility requirements described in Section 6.

"Affiliate" or "Referral Partner" means a third party authorized by the Company to promote the Program using a unique link, code, or other
attribution method.

2. Payment Method: ACH Only; Payment in Advance; Authorization; Failed Payments

Payment required in advance. Program Fees must be paid in full in advance by ACH bank transfer and/or ACH debit. No access to the Program (including the portal, materials, templates, recordings, or live sessions) will be provided unless and until payment has cleared.

ACH only. Enrollment and all Program Fees must be paid by ACH only. We do not accept credit cards unless expressly agreed in writing.

Affiliate and sponsor enrollments. If you enroll through an Affiliate, referral partner, or sponsor link or code, your payment is made directly to the Company, and the Affiliate or sponsor is not the seller of record. Affiliates and sponsors are not authorized to accept payment, issue refunds, or modify this Policy. We may share limited information with the Affiliate solely to attribute the referral and administer commissions.

Authorization. By enrolling, you authorize the Company (or its payment processor) to initiate an ACH debit from your designated bank account for the Program Fees, as applicable.

Returned/rejected payments. If an ACH debit is returned, rejected, reversed, or disputed for any reason (including insufficient funds, closed account, incorrect account details, or unauthorized return), you agree to:


Pay any returned payment fee assessed by us or our processor, up to $35 per return (or the maximum permitted by law), and

Promptly remit the Program Fees in full within three (3) business days of notice.


Suspension/removal for nonpayment. If payment does not clear by the required date, we may suspend or deny access to the Program. Continued nonpayment may result in removal from the Program. In such cases, no refund is due except where required by law.

Client responsibility. You are responsible for ensuring your bank information is accurate and that sufficient funds are available for any ACH debit.

3. Pre-Start Fit Decision: 100% Refund After the 1:1 Strategy Call

Fit call included. Every Client receives a 1:1 Strategy Call prior to Program Start.

100% pre-start refund option. If, after completion of the 1:1 Strategy Call, you determine the Program is not a fit, you may cancel before Program Start and receive a 100% refund of Program Fees paid.

How to request. To request this refund, you must email [email protected] with the subject line "Pre-Start Cancellation — Refund Request" no later than 11:59 PM (Client local time) on the day before Program Start.

Refund processing. Approved refunds will be processed back to the originating bank account via ACH within ten (10) business days (timing may vary by bank).

No-show/reschedule. If you miss the 1:1 Strategy Call without notice, we will make reasonable efforts to reschedule once. Repeated no-shows or failure to schedule the call before Program Start does not extend the cancellation window.

4. No Cash Refunds After Program Start

Because the Program is a limited-capacity cohort experience and includes access to proprietary materials and live delivery, all sales are final after Program Start and no cash refunds are issued after Program Start, except where required by law.

5. Extension Support Guarantee (Post-Start Remedy in Lieu of Refund)

If you complete the Participation Requirements and remain dissatisfied with the Program’s outcomes, your sole and exclusive remedy is Extension Support (not a cash refund).

A. Extension Support remedy

We will provide up to eight (8) additional weeks of support at no additional cost, designed to help you complete the Program deliverables and implement the operating cadence.

Extension Support includes, at our discretion:

Up to four (4) live support sessions (group and/or 1:1, as we determine),

Up to two (2) asynchronous reviews of submitted deliverables (e.g., written feedback), and

A revised implementation plan with prioritized next steps.


Scope limits:

Extension Support does not include unlimited consulting, done-for-you services, custom implementation work performed by the
Company, or on-site support unless separately contracted.

Extension Support is non-transferable, has no cash value, and may not be applied to other offers.


B. Timing and use-it-by window

You must request Extension Support within seven (7) calendar days after the end of Week 8.

If approved, Extension Support must be used within ninety (90) days after approval unless we agree otherwise in writing.

6. Participation Requirements (Eligibility for Extension Support)

To qualify for Extension Support, you must demonstrate good-faith participation and completion of the following:


Attendance/engagement: Attend at least six (6) of eight (8) live sessions, or (if you miss a session) watch the recording within seven (7)
days and submit required outputs.

Deliverable submission: Submit core deliverables and worksheets by the Program deadlines (or an approved extension).

Implementation actions: Complete required implementation actions (as defined in the Program portal), including executive decisions,
priority commitments, and operating cadence setup.

Responsiveness: Respond to Company requests for scheduling, questions, and reviews within five (5) business days.

Decision-maker access: Ensure the necessary decision-makers participate sufficiently to implement strategy decisions.


Exclusions. Extension Support does not apply if lack of outcomes is primarily due to nonattendance, missed submissions, refusal to make required decisions, failure to provide information/access, nonpayment, or disruptive conduct.

7. How to Request Extension Support

Email [email protected] with the subject line "Extension Support Request — Strategy Accelerator" and include: (i) the name of your company and enrolled cohort dates, (ii) which Participation Requirements were completed (with links or attachments), and (iii) which deliverables/outcomes remain incomplete.

We will respond within ten (10) business days with an approval decision and (if approved) an Extension Support plan.

8. Chargebacks, ACH Returns, and Disputes

You agree to contact us first at [email protected] to attempt to resolve any billing dispute before initiating an ACH return or bank dispute. We will make good-faith efforts to resolve disputes consistent with this policy. Nothing in this section limits any non-waivable rights you may have under applicable law.

9. Confidentiality, Recordings, and Cohort Conduct

Confidentiality. You agree not to disclose confidential information shared by other cohort members.

Recordings. Sessions may be recorded and provided to enrolled Clients. You may not distribute recordings outside your organization.

Conduct. We reserve the right to remove any participant for harassment, disruption, breach of confidentiality, or other conduct that interferes with the Program experience. Removal does not entitle Client to a refund, except where required by law.

10. Termination for Cause

We may terminate your access to the Program for: (i) nonpayment, (ii) material breach of this policy or the Terms of Service, (iii) confidentiality or intellectual property violations, or (iv) misconduct. In such cases, no refund is due, except where required by law.

11. Intellectual Property; Limited License

All Program materials, templates, worksheets, recordings, and other content provided by the Company ("Program Materials") are owned by the Company or its licensors and are protected by intellectual property laws.

We grant Client a limited, non-exclusive, non-transferable, revocable license to use the Program Materials for internal business purposes within Client’s organization only. Client may not reproduce, resell, publish, share, or distribute Program Materials outside Client’s organization without our prior written permission.

12. Disclaimers; No Professional Advice

The Program is educational and advisory in nature and does not constitute legal, tax, accounting, investment, or other professional advice. You are responsible for decisions and implementation in your business. Outcomes vary based on execution and internal conditions.

13. Limitation of Liability

To the maximum extent permitted by law, the Company’s total liability arising out of or related to the Program will not exceed the Program Fees actually paid by Client. The Company will not be liable for any indirect, incidental, consequential, special, or punitive damages.

14. Governing Law; Dispute Resolution

This policy is governed by the laws of the State of Florida, without regard to conflict-of-law principles. Any dispute arising out of or relating to the Program or this policy will be resolved pursuant to the dispute resolution provisions in the Terms of Service (including any arbitration agreement) as in effect on the date of Client’s enrollment.

15. Policy Updates

We may update this policy prospectively. Changes will not retroactively reduce rights for Clients already enrolled unless required by law or agreed in writing.

Optional Plain-English Summary (Non-Contractual)

After your 1:1 Strategy Call: you may cancel before Program Start for a 100% refund.

After Program Start: no refunds. If you complete participation requirements and still aren’t satisfied, your remedy is up to 8 additional weeks of Extension Support to complete deliverables and implementation.

Payment is by ACH only.
